This service, what we call the "Reager & Adler Corporate Preventive Checkup", is designed to help our clients avoid the many legal pitfalls presented by today's bewildering array of laws and regulations impacting businesses which, all too often, give rise to costly legal problems, if not litigation.

Our Corporate Preventive Checkup is designed to identify potential legal problems before they arise. How do we do this? Our preventive checkup program begins with a relatively brief visit to the client's place of business. While there, a checklist of potential legal issues is provided to the client and discussed with the client and key personnel. The client typically provides the Reager & Adler attorney with key business documents, such as corporation filings and minutes, partnership agreements, contracts, employee handbooks, leases and the like. The client may also provide us with a list of legal concerns.
Items that will be reviewed during the Corporate Preventive Checkup include:
- contracts, leases and other key documents
- hiring and firing practices for compliance with applicable statutes and regulations
- business succession plan
- employment contracts and non-compete agreements
- company personnel policies and handbook
Other topics of discussion may include preserving the corporate identity and limiting personal liability, overtime payment regulations, and any other legal concerns of the client
Following our visit and a review of the client's key documents and concerns, Reager & Adler provides the client with follow-up recommendations. The follow-up recommendations are designed to inform our clients of the preventive measures that can be implemented now so that the potential legal risks and/or problems can be averted. It is always the client's decision whether or not it will implement these recommendations.
